Christopher M. Henley

Chris Henley is the founder and President of Henley Capital Corporation, a registered Exempt Market Dealer and Portfolio Manager.  Mr. Henley is the portfolio manager and registered advising representative for the firm.

Mr. Henley has spent over 30 years in industry and investment banking analyzing and evaluating projects and financing and advising public and private companies. Mr. Henley was formerly employed as an officer at three of Canada's largest investment dealers. He has extensive experience financing and advising both public and private entities covering the full range of market capitalizations and is one of Canada's top advisors and underwriters in the technology sector having financed or advised many of the country's largest and best performing technology companies covering the full spectrum of high technology.

Prior to his current role Mr. Henley was the head of investment banking in Toronto and ran the High Technology and Communications practice for one of Canada's largest independent investment dealers. As one of the largest shareholders and a member of senior management of the then 725 employee firm Mr. Henley was also a member of the Names Approval Committee and Capital Committee.

Mr. Henley has personally completed and executed financing and advisory assignments covering the full spectrum of services in investment banking in a wide variety of industry sectors. Selected services covered over this period include:

  • public and private debt and equity,
  • term and revolving credit facilities,
  • structured finance/project finance including limited partnerships and securitizations,
  • fairness opinions and valuations
  • domestic and cross-border M&A assignments,
  • hostile takeover defenses; and
  • strategic and advisory work.

Prior to joining the investment banking business Mr. Henley worked for the President and CEO of BP Canada Inc. as the company's representative on the East Coast of Canada and the representative of all of British Petroleum's interests in Canada at the senior most bureaucratic and political levels in Ottawa as well as Atlantic Canada. He also actively pursued business development initiatives for the Group's diverse business units.

Prior to BP, Mr. Henley was employed in the New Ventures and Acquisitions group of one of Canada's largest oil and gas companies and was formerly Executive Assistant, responsible for policy, to the joint Minister of Mines and Energy and Minister of Industrial Development in Newfoundland.

Mr. Henley has been a frequent lecturer and speaker on financing public and private companies at both technology and securities industry events. Mr. Henley has also co-hosted and co-sponsored a number of technology conferences and major events including The Canadian Software and IT Services Industry Awards at Softworld '98, The Bandwidth Technologies Conference on Wave Division Multiplexing and Optical Networking in Toronto and The Wall of Software in Vancouver. He is the founding and former Chair of the Judging Panel for the Canadian Software and IT Services Industry Awards — The Branham Awards. Mr. Henley is also a founding and past Co-Chair of the Premier's Technology Dinner in Ontario and is a founding and former member of the Ministers' Technology Advisory Group (MTAG) for the Province of Ontario where he chaired the Task Force on Access to Capital. He is also a founding member of the National Angel Organization in Canada.

Mr. Henley currently serves on a number of charitable, industry and public and private sector boards including Transition Therapeutics Inc. - a NASDAQ-listed and TSX-listed biotechnology company in which Mr. Henley was an early advisor and one of the initial angel investors , the Governance Committee of the Ontario Cancer Research Ethics Board at the Ontario Institute for Cancer Research and is currently Chair of West Park Healthcare Centre in Toronto and Chair of the McMichael Canadian Art Foundation.  He is a former board member and Chair of the Toronto Port Authority, a former board member of the Exempt Market Dealers Association of Canada, a former director of Ontario Transport Capital Corporation -- the developer of Highway 407, the first all-electronic highway in the world; and a past member of the Advisory Board, Faculty of Business Administration, Memorial University of Newfoundland. 

Mr. Henley is also actively involved in a number of annual charitable fundraising initiatives and is a founding member and Vice-Chair of the Future Focus Foundation and the Smiling Land Foundation.

Mr. Henley holds a B.A. from Memorial University, an MBA from Dalhousie University and has completed the Institute of Corporate Directors Directors Education Program at the Rotman School of Management in Toronto. In 2006, Mr. Henley received the internationally recognized professional designation ICD.D.

Managing Director,

Gary Cook has 25 years’ experience in the investment industry.

Prior to his current position he was President and a shareholder of Integra Capital Financial Corporation from its inception in 1993 until its sale to Scotiabank in 2012. Integra was an investment management firm, providing investment management services to high net worth individuals and families, foundations and endowments. At Integra, Mr. Cook was responsible for the strategic direction of the company, overall management, product development and client relationships.

Prior to his role with Integra, Mr. Cook was in investment banking acquiring companies for the account of himself and two partners.

He has held management positions in Latin America and Asia and has served on both public and foundation boards, most recently the Oakville Hospital Foundation.
